1. Scope of Work

Before we start, we put the scope in writing: directions (strategy, SMM, influencer marketing, PR, PPC, Native Promotion), target metrics, period, and budget. This is set out in a proposal or an email. If tasks come up along the way that fall outside the original agreement, we price and confirm them with you separately. New costs only appear after your approval.

2. Payment Terms

The standard model is prepayment per package or stage at the start, unless agreed otherwise in writing. For long projects, we work on a monthly retainer. Media and advertising budgets (buying placements, influencers, PPC) are paid separately from the cost of the work. Reports and access are provided once payment for the relevant period is received. Payment delays beyond 7 days may pause the work.

3. Timelines

We move fast — we set a schedule and stick to it, provided materials, access, and approvals arrive on time. If your team is out of contact for more than 14 days, we put the project on hold. Rescheduling a slot in the timeline may incur an additional fee.

4. Rights to the result

The final approved materials (creatives, copy, publications) made for your project transfer to you after full payment. Toba Agency's internal know-how, templates, processes, and partner network of influencers and platforms remain our property. We reserve the right to show non-confidential results in our portfolio, case studies, and social media. To opt out of this, let us know in writing before the start.

5. Communication

We use Telegram and email for communication. We reply to work messages within 24 hours on business days. Urgent matters and calls are arranged separately.

6. Cancellation

You can stop the project at any time. In that case, the work actually completed and the commitments locked in with contractors, platforms, and influencers are payable.

7. Cancellations

You can cancel a project at any time. If that happens, you’ll be invoiced for the work completed up to that point.

If you pause a project for more than 21 days without prior notice, we may reschedule your work depending on our current queue. Paused projects may incur a restart fee depending on scope and availability.

8. Liability

We guarantee the delivery of work as outlined in the agreed scope. We are not liable for indirect damages, technical issues from third-party services (e.g. CMS platforms, plugins, hosting), or how the final work is used beyond our control.

We test and hand over everything in good faith and with professional care.

9. Confidentiality

Everything you share with us — including strategy, visuals, product details, or internal documentation — stays private. We don’t share it, reuse it, or disclose it without your permission.

If you’d like to sign a mutual NDA before we start, we’re happy to do so.

10. Updates to Terms

We like to show the work we’re proud of. Unless we’ve agreed otherwise, we may display the final product in our portfolio, blog, case studies, or social channels.

If the work involves sensitive material (e.g. pre-launch products, stealth brands), just let us know upfront and we’ll keep it private.
